LEGAL ENTITIES WITH STATE PARTICIPATION: THE MAIN DEVELOPMENT TRENDS IN THE REPUBLIC OF TAJIKISTAN

The article examines the main tendencies of development of the state participation in the civil legal relations by creating a new legal entity. The author gives an assessment of the ongoing changes in the Republic of Tajikistan on the example of Russia’s experience in creating state corporations. State corporations take a special place in the system of legal entities. They combine both the characteristics of a unitary organization, and characteristics of corporation. Management of public corporations borrowed certain features of corporate governance. The author proposes to use in the Republic of Tajikistan the practice of creating the unitary state legal entities with the corporate management model. The civil legislation of the Republic of Tajikistan was focused on the Russian experience and model acts of the Commonwealth of independent States. Currently, it is required to determine the need to use the experience of Russia on the global reform of the Civil Code at the level of legal doctrine. From the perspective of a comparative study, it is necessary to find an answer to the question of the most promising forms of legal with state participation. Corporate model of governance will improve the efficiency of state companies. This is necessary in connection with the deepening of the process of mutual influence of private capital and state property. The state should strive to develop corporate governance principles in the companies to ensure a balance of interests of all participants. At the same time, it should not be considered as a violation of corporate principles to identify the interests of the state as the main customer of the investment project. The article made the conclusion about the necessity of adopting a special law on the state of the company. In the new form of a legal entity it is possible to implement the state tasks of economic development with market management methods. Corporate governance mechanisms allow attracting private investors, improving efficiency of the company with state participation.
